CONSTITUTION AND BY-LAWS OF:
“CALIFORNIA MISSION DEVELOPMENT”

ARTICLE #1……….NAME
This association, known as: “California Mission Development” (CMD) shall be an auxillary unit of the First Missionary Baptist Church of Armona, Ca.

ARTICLE #2……….PURPOSE
The purpose of this association shall be to provide an agency through which its members can fellowship together in the financial assistance of church endorsed mission projects. The aims are as follows:
a. To assist financially in the buying and improving of lands where church buildings may by constructed and in which church services may be held.
b. To assist financially in erecting new church buildings in which to worship.
c. To assist financially in the remodeling of old buildings for church worship purposes.

ARTICLE #3……….MEMBERSHIP
a. This association shall be composed of Missionary Baptist Churches as defined in: “Cobb’s Church Manual” and who voluntarily participate in the CMD program.
b. Each participating church will be allowed two (2) messengers whose qualifications shall be determined by the church selecting them.
c. A church shall be considered a participating church if funds have been given for four (4) quarters in the last six (6) quarters by the Church, Ladies Auxiliary, Sunday School Class, Men’s Brotherhood, etc.

ARTICLE #4……….OFFICERS
a. Secretary/treasurer selected by the sponsoring church.
b. Pastor of the sponsoring church shall act as the moderator of the advisory council. In the event he is absent, the pastor of the host church shall act as moderator for that advisory council meeting.
c. The advisory council may select officers which it feels necessary; however, the selection of officers must be approved by the sponsoring church.

ARTICLE #5……….COMMITTEES
a. Committees on research may be sent out upon request of the advisory council.
b. Committees may be sent out by the advisory council to do whatever might seem necessary.
c. All committees shall be subject to the approval of the sponsoring church.

ARTICLE #6……….MEETINGS
a. The advisory council shall meet quarterly.
b. The meeting shall be at such time and place as the assembled advisory council may select.
c. The advisory council is only a recommending body. The vote of the sponsoring church is final.
d. Special meetings may be called by the sponsoring church at any convenient time when a project becomes urgent.

ARTICLE #7……….PETITIONS
a. Each petition should be presented to the First Missionary Baptist Church of Armona, at least thirty (30) days prior to the CMD advisory council meeting.
b. The sponsoring church may petition for a mission outside the state, providing the sponsoring church is fellowshipping with the California Cooperative Association; or the petitioning church may be located in another state if its mission is located in California. (Amended 2/10/99)
c. Every petition shall be heard by the advisory council and shall stand or fail on its own merit.
d. Each petition must have a detailed cost estimate & Use permit when construction if contemplated.
e. All funds received by a petitioner shall be used as stated in said petition.
f. All funds received by a petitioner shall be returned to CMD if the church or mission disbands or departs from the faith as defined in the doctrinal statement of the 1994 minute book of the California Cooperative Association or if the property is sold for any reason other than maintaining or upgrading the property value. A new petitioner must indicate in writing her willingness to comply with this stipulation.
g. The advisory council shall, at its own discretion, vote to distribute said quarterly funds to more than one petitioner or to hold said quarterly funds until a later date.

ARTICLE #8……..VOTING
a. All votes of the advisory council, when determining which mission project is to receive the funds, shall be taken by show of hands. (Amended 4/8/01)
b. In all votes of the advisory council, a majority of votes cast shall decide questions except in the change of amendment in the articles of agreement.
c. Amendments and changes to this constitution may be made by a two-thirds (2/3) majority vote of the advisory council present and a majority vote of the sponsoring church.
d. Requirements for a quorum of participating churches rescinded by recommendation of the messengers.

ARTICLE #9……..RECEIPTS AND DISBURSEMENTS
a. The secretary/treasurer, an agent of the First Missionary Baptist Church of Armona, shall keep a permanent file of all funds and disbursements. This file is to be made available for inspection by any participating church or an authorized auditor, when so requested and approved by the advisory council and sponsoring church.
b. Reports of progress shall be made public each quarter for promotional aids and to show needs of the petitioner.

ARTICLE #10…….MISCELLANEOUS
a. The duration shall be perpetual.
b. This association may be dissolved only upon recommendation of the advisory council and vote of the sponsoring church.
c. Upon dissolution or forfeiture of this association, all tangible properties shall be disbursed as directed by the advisory council and sponsoring church.
d. This association, being an agency of the First Missionary Baptist Church of Armona, shall always be subject to the sponsoring church.
